Terms & Conditions
The terms of trade set out below govern all of the supplies of goods and services from Convergent Resources Pty Ltd,
ABN 34 002 242 775 to the purchaser (you) . Your acceptance of any goods or services from Convergent Ressources indicates your acceptance of these terms and conditions of supply.
1. You agree to pay any GST payable under the GST law, as defined in the A New Tax System ( Goods & Services) Act 1999(Cth), and any other government duties, levies or taxes payable in respect of goods and services.
2. Deliveries
2.1 All supplies of goods are subject to availability of stock at the time of delivery.
2.2 Wherever possible, goods not supplied will be backordered and supplied when available.
2.3 You are responsible for insurance and risk in the goods from the time they are received by the carrier for delivery to you.
3. Warranties
3.1 Goods are subject to the manufacturers warranty only. Convergent Resources will pass on those warranties to you, without itself being directly liable to you under any other warranty.
3.2 Where the Trade Practices Act 1974 (Cth) (as amended) applies to the supply of goods or service under these terms of trade, you may have additional rights under the Act.
3.3 Any warranty may be voided by damage to or misuse of the item, problems such as the product being used for an unintended purpose, inadequate packaging, cleaning or maintenance, tampering, unauthorised repairs and modifications.
4. Payments and Property
4.1 Payment can be made by direct transfer of funds to Convergent Resources and we accept MasterCard , Bankcard, Visa and American Express payments.
4.2 Where Convergent Resources has agreed in writing to extend credit to you , you must pay in full within 14 days form invoice date . If you have not paid in full by the due date, Convergent Resources may at it's option charge collection costs (which may include legal costs of a solicitor – client basis).
4.3 Convergent Resources reserves the right to take any action it deems necessary against you trading outside these terms. This may include withholding supply of stock relating to orders, suspension of further services or the termination of credit facilities.
4.4 Property and ownership of goods whether in their original form , modified form or incorporated into other goods, will not pass to you but will remain with Convergent Resources until payment in full of the purchase price of the goods and all other amounts that you owe to Convergent Resources for any reason are received.
5. Goods Returned for Credit
5.1 Before returning goods for credit you must ensure that you have proof of purchase.
5.2 Convergent Resources will replace any products that are deemed by the manufacturer to be faulty and within their terms of warranty.
5.3 Goods for return will need to be returned with a return authorization form that can be obtained by calling Ph: 1300 880 361 or emailing service@conres.net.au
5.4 Failure to comply with the procedures under clauses 5.1, 5.2 and 5.3 may result in the goods being replaced.
6. General Conditions
6.1 You agree to notify Convergent Resources of any changes to the legal entity, structure or management control of your business.
6.2 This Agreement is personal to you and you have no right to transfer or assign this Agreement or any rights given by this agreement or any part of those rights without written consent from Convergent Resources.
6.3 The supply of goods to you does not transfer any right title or interest in any copyrights, trademarks or other intellectual property rights relating to those goods sold to you.
6.4 Convergent Resources reserves the right to change these terms of trade from time to time without notice.
If any provisions of these terms of trade are held to be invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect and the parties shall adjust their respective rights and obligations in accordance with the spirit and intent of the parties shown by these terms of trade.
